We are pleased to announce that a number of new lawyers have joined the firm.

Alan S. Pralgever joined the firm as a partner and Gary L. Koenigsberg joined the firm as counsel, both in the Litigation Department. Ellen A. Marshall joined as of counsel in the Family Law Practice Group and Shirleen Roberts has joined the Construction Law Practice Group as counsel. Alan, Gary & Ellen are based in the firm’s Roseland office, and Shirleen is based in the Woodbridge office.

Richard J. Angowski, Jr., Nicholas P. Grippo, Steven B. Gladis, Jessica Goldfinger and Kim Marie K. Wozniak joined the firm as associates. Richard and Kim are also in the Roseland office, and Nick, Steven and Jessica are based in the Woodbridge office. We congratulate Steven, Jessica and Kim on recently passing the New Jersey Bar exam.

In “Seller Beware!” Larry Maher and Jill Bier explore the very timely issue of how sellers of commercial goods can ensure payment when their buyers experience financial distress or file for bankruptcy.

In their article, “Going Green by Building Green,” Bob Goldsmith and Joanne Vos describe the environmental, financial and tax benefits of green building, as well as discussing the firm’s involvement in a green project, the Epstein’s redevelopment project in Morristown.

In “Liquidated Damages,” Steve Nudelman discusses what every contractor should know about liquidated damage clauses and their enforceability.

In Eric Melzer’s artice, “The Accidental Franchise,” he discusses the pitfalls of how a trademark licensing agreement can trigger state and federal franchise disclosure and registration laws.

Aron Schwartz and Stephanie Reckord explain a new state law in their article, “ABCs of the Paid Family Leave Act.” They detail how the new law expands the current state disability insurance system, who is covered, and how the new law’s obligations intersect with the existing family leave acts. Finally, they describe employers’ obligations under the new Act.

The Accidental Franchise
When licensing a trademark registered under federal law, trademark owners have to be wary that they do not create a franchiser-franchisee relationship. In many license agreements, licensors (the trademark owner) try to limit this exposure by adding a provision in the agreement that the parties acknowledge and agree that their relationship is not that of a franchiser-franchisee.
